Terms of Service

BellMates (the 'Platform') is a software-as-a-service (SaaS) provider that offers a virtual assistant based on Generative Artificial Intelligence. BellMates is NOT a travel agency, property manager, booking intermediary, or a party to any rental, lodging, or tourism service agreement between the Host and the Guest.

The 'Host' is the subscribing customer of BellMates, the owner or operator of a vacation rental property, who contracts our services, provides their property information, and is solely responsible for the accuracy of such information and for the relationship with their guests.

The 'Guest' is the end user who interacts with the virtual assistant (Bella). The Guest has no direct contractual relationship with BellMates; their contractual relationship is exclusively with the Host.

To subscribe to our services, the Host represents that they are at least 18 years of age and have the legal capacity to enter into binding contracts in their jurisdiction.

AI Limitations: Although our system is designed to rely strictly on the information provided by the Host, generative AI may exceptionally produce inaccurate responses ('hallucinations'). BellMates uses top-tier Artificial Intelligence providers and reserves the right to change, add, or replace providers or models at any time to improve the service.

Full Exclusion of Liability between Host and Guest: BellMates is neither a party to nor an intervener in the relationship between Host and Guest. The Host fully and irrevocably holds BellMates harmless from any guest complaints, booking cancellations, refunds, material damages, legal disputes, or any third-party claims arising directly or indirectly from the use of the virtual assistant.

The Host is solely responsible for: (a) the accuracy and currency of the information provided to the assistant; (b) monitoring critical conversations; (c) resolving any disputes with their guests.

Limitation of Liability: In no event shall BellMates' total liability exceed the amount actually paid by the Host during the 3 months immediately preceding the event giving rise to the claim.

Each plan includes a maximum number of smart interactions per billing cycle. Unused interactions are not cumulative between cycles and reset at the beginning of each period.

All plans include a courtesy buffer of 10% above the contracted limit. If the Host's usage exceeds this courtesy buffer, BellMates will notify the Host by email and will automatically upgrade the subscription to the next available plan after a 48-hour grace period.

The Host may revert the plan change at any time from their billing portal. If the Host is already on the highest available plan, the assistant will redirect inquiries directly to the Host until the start of the next billing cycle.

By accepting these Terms, the Host expressly authorizes this automatic plan escalation mechanism.

Our services are offered under a subscription model (monthly or annual). The sale, collection, and invoicing of these subscriptions are handled by Lemon Squeezy, LLC, acting as our 'Merchant of Record'. Lemon Squeezy is the legal entity responsible for charging, collecting applicable taxes (VAT/Sales Tax) according to the Host's jurisdiction, and issuing the corresponding invoice.

The Host may cancel their subscription at any time. Cancellation will take effect at the end of the current billing period. No partial, prorated, or immediate refunds will be issued for unused time within an already paid cycle.

Right of Withdrawal (European Union): In accordance with Directive 2011/83/EU, EU users have the right to withdraw from the contract within 14 calendar days of subscription. If the user requests and consents to the commencement of the service before the withdrawal period expires, they will lose this right proportionally to the service already provided.

BellMates reserves the right to modify subscription plan prices at any time and without prior notice. New prices will apply to all users, including existing subscribers, starting from their next billing cycle.

There is no price maintenance guarantee for any plan or subscription period. Continued use of the service after the application of new prices constitutes acceptance thereof. If the Host disagrees with the new price, they may cancel their subscription before the start of the next billing cycle.

The Host retains all rights to their property information. By uploading it, they grant BellMates a limited license to process this data for the sole purpose of operating the AI.

BellMates retains all intellectual property over the code, design, and algorithmic functioning of the platform.

For users in Mexico, these Terms shall be governed by the laws of the United Mexican States. For users in Argentina, they shall be governed by the laws of the Argentine Republic. For users in Spain or the European Union, they shall be governed by Spanish legislation and applicable EU regulations, without prejudice to the mandatory rights of the consumer in their country of residence.

In all cases, payment, invoicing, and tax policies are managed by our Merchant of Record (Lemon Squeezy, LLC), which operates under the jurisdiction of the United States of America.

BellMates reserves the right to modify these Terms, the Privacy and Cookies Policies, platform features, technologies employed (including AI providers, hosting, and payment processors), and any aspect of the service at any time.

Continued use of the service after the publication of changes constitutes acceptance of the modified terms. If the Host disagrees, they may cancel their subscription before the start of the next billing cycle.
